Nayana AI Terms of Service

These Terms of Service ("Terms") govern your access to and use of Nayana, including any websites, applications, APIs, and related services (collectively, the "Service"). By accessing or using Nayana, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
1. About Nayana
Nayana is an AI-powered assistant that helps users schedule, manage, and coordinate activities, including creating and managing calendar events on behalf of users with their explicit authorization.
2. Eligibility
You must be at least 13 years old to use Nayana. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.
3. Account Registration and Authorization
To use certain features of Nayana, you may be required to:
Create an account
Authenticate via third-party services (such as Google)
Grant Nayana permission to access specific data (e.g., Google Calendar)
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Use of Google Services
When you connect Nayana to your Google account, you authorize Nayana to access and use Google data strictly in accordance with your permissions and our Privacy Policy.
Nayana’s use of information received from Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements.
You may revoke Google access at any time through your Google Account settings.
5. Acceptable Use
You agree not to:
Use the Service for unlawful, harmful, or fraudulent activities
Attempt to reverse engineer, disrupt, or interfere with the Service
Access data not intended for you
Use Nayana to spam, harass, or deceive others
We reserve the right to suspend or terminate access for violations of these Terms.
6. AI-Generated Actions and Limitations
Nayana performs actions (such as scheduling calendar events) based on user instructions and permissions. While we strive for accuracy, you acknowledge that:
AI-generated actions may occasionally be incorrect or incomplete
You are responsible for reviewing and confirming outcomes where appropriate
Nayana does not guarantee that actions performed on your behalf will always meet your expectations.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.
By using Nayana, you consent to data processing as described in the Privacy Policy.
8. Intellectual Property
All rights, title, and interest in the Service, including software, designs, trademarks, and content (excluding user-provided content), are owned by or licensed to Nayana.
You are granted a limited, non-exclusive, non-transferable license to use the Service for personal or internal business purposes.
9. Third-Party Services
The Service may integrate with third-party services (such as Google). Nayana is not responsible for third-party services, their availability, or their policies.
Your use of third-party services is governed by their respective terms.
10. Service Availability and Changes
We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.
We do not guarantee uninterrupted or error-free operation.
11. Termination
You may stop using the Service at any time.

Upon termination, your right to use the Service will cease immediately.
12. Cancellation & Refund Policy
Subscription Cancellation
Nayana offers paid subscriptions or services. You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of the current billing cycle unless otherwise stated.
Refunds
Payments made for subscriptions or services are non-refundable, except where required by Malaysian law.
If a refund is applicable (e.g. duplicate charge or billing error), refund requests must be submitted within 14 days of the transaction date.
Approved refunds will be processed back to the original payment method within a reasonable processing period, subject to the payment provider’s timelines.
Service Issues
If you experience a technical issue that materially affects your ability to use the Service, please contact support. We will assess such cases on a best-effort basis.
13. Service Delivery Policy
Digital Service Delivery
Nayana provides digital services only, including access to an AI-powered assistant and related software features. No physical goods are shipped or delivered.
Service Access
Upon successful registration or payment (if applicable), users are granted access to the Service immediately or within a reasonable time.
Service delivery is performed electronically via the Nayana website, application, or API.
Availability
Service availability may depend on internet connectivity, third-party services (such as Google APIs), and system maintenance.
While we aim for high availability, uninterrupted access is not guaranteed.
Support and Issue Resolution
If you experience delays or issues accessing the Service, please contact support. We will use reasonable efforts to restore access promptly.
14. Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis.
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the maximum extent permitted by law, Nayana shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use of the Service.
16. Indemnification
You agree to indemnify and hold harmless Nayana from any claims, damages, or losses arising from your use of the Service or violation of these Terms.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles.
18. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
